AETHERVERSE CONSULT LISTING SERVICES AGREEMENT

1. INTRODUCTION

Welcome to Aetherverse Consult (“Aetherverse Consult”, “we”, “our”, or “us”).

This Marketplace Services Agreement (“Agreement”) governs your access to and use of the Aetherverse Consult website, mobile applications, subdomains, and all related digital services (collectively, the “Platform”).

By registering an account, subscribing to a membership plan, listing a vehicle, purchasing a membership, advertising goods or services, or otherwise using the Platform, you agree to be legally bound by this Agreement, our Privacy Policy, Cookie Policy, and any additional policies published on the Platform.

If you do not agree with these terms, you must immediately discontinue use of the Platform.

2. DEFINITIONS

Unless the context otherwise requires:

“Account” means a registered user profile created to access the Platform.

“Advertisement” or “Listing” means any vehicle, product, service, property, rental, or other content published on the Platform.

“Advertiser” means any individual, dealer, trader, company, organisation, or business that publishes Listings or advertisements on the Platform.

“Agreement” means these Terms and Conditions together with all policies, guidelines, membership rules, and other legal documents incorporated by reference.

“Buyer” means any person who views, enquires about, negotiates for, or purchases goods or services advertised on the Platform.

“Dealer” means a registered motor vehicle dealership or automotive business authorised to advertise vehicles through the Platform.

“Lead” means an enquiry, contact request, telephone call, email, quotation request, booking request, or any other communication generated through the Platform between Users.

“Marketplace” means the online digital marketplace operated by Aetherverse Consult.

“Membership” means any subscription package offered by Aetherverse Consult, including Standard, Premium, and Ultra Memberships.

“Platform” means the Aetherverse Consult website, mobile applications, APIs, software, digital services, and affiliated subdomain websites.

“Seller” means any User who advertises, lists, sells, rents, or offers goods or services through the Platform.

“Services” means all marketplace, listing, advertising, lead generation, promotional, membership, and digital services offered by Aetherverse Consult.

“Subdomain Services” means any additional digital services offered through websites operated under the Aetherverse Consult domain.

“User” means any visitor, registered member, buyer, seller, dealer, trader, advertiser, or business using the Platform.

3. OUR ROLE

Aetherverse Consult operates solely as an independent online listing and technology platform.

We provide digital infrastructure that enables buyers, sellers, dealers, traders, and businesses to:

• create listings;

• advertise goods and services;

• connect with prospective customers;

• generate business leads;

• promote their businesses; and

• communicate directly with one another.

Unless expressly stated otherwise, Aetherverse Consult:

• is not the owner of listed vehicles or products;

• is not a motor dealer, auctioneer, importer, exporter, financier, insurer, logistics provider, or vehicle inspection company;

• is not a party to any transaction between Users;

• does not guarantee that any transaction will be completed;

• does not guarantee the accuracy of any listing;

• does not inspect or verify vehicles unless specifically stated.

Users enter into transactions entirely at their own discretion and risk.

4. ELIGIBILITY

To use the Platform, you must:

• be at least eighteen (18) years old;

• possess legal capacity to enter into binding contracts;

• provide accurate and complete registration information;

• comply with all applicable laws of the Republic of Ghana and any jurisdiction in which you operate.

Businesses registering on behalf of an organisation warrant that they possess authority to bind that organisation.

5. ACCOUNT REGISTRATION

Users may be required to register before accessing certain features.

When creating an Account, Users agree to:

• provide truthful, accurate, and complete information;

• maintain current account information;

• protect login credentials;

• immediately notify Aetherverse Consult of unauthorised account access;

• accept responsibility for all activities conducted through their Account.

Aetherverse Consult reserves the right to suspend or terminate any Account containing false, misleading, or fraudulent information.

6. MEMBERSHIP PLANS

The Platform may offer multiple membership categories, including:

Standard Membership

Provides access to basic listing and marketplace services.

Premium Membership

Provides additional visibility, promotional features, enhanced business tools, and other premium benefits.

Ultra Membership

Provides access to advanced marketplace features, priority support, enhanced advertising opportunities, exclusive business tools, and any additional benefits determined by Aetherverse Consult.

Membership benefits, pricing, duration, renewal, and eligibility may be modified at any time.

7. LISTINGS

Users may publish Listings only for goods or services they are legally authorised to advertise.

Every Listing must:

• be truthful and accurate;

• contain genuine photographs;

• accurately describe the advertised item;

• comply with all applicable laws;

• avoid misleading representations;

• avoid infringing intellectual property rights;

• comply with Aetherverse Consult’s Listing Policies.

Listings may be rejected, edited, suspended, or removed without prior notice where they violate this Agreement.

8. PROHIBITED CONTENT

Users shall not publish any Listing or content that:

• is false or misleading;

• promotes fraud or scams;

• infringes copyright, trademarks, patents, or other intellectual property;

• contains offensive, abusive, defamatory, hateful, discriminatory, or obscene material;

• advertises stolen property;

• advertises illegal goods or services;

• violates Ghanaian law;

• impersonates another individual or organisation;

• contains malware, viruses, malicious code, or harmful software;

• attempts to deceive, manipulate, or exploit other Users.

Repeated violations may result in permanent suspension without refund.

9. LISTING FEES, MEMBERSHIP FEES AND PAYMENTS

Aetherverse Consult may charge fees for certain services offered through the Platform, including but not limited to:

• Membership subscriptions;

• Vehicle listing fees;

• Featured or sponsored listings;

• Promotional advertising;

• Business profile subscriptions;

• Lead generation services;

• Premium digital services available through the Platform or its subdomains.

All applicable fees shall be displayed before purchase.

Payments may be made using any payment methods approved by Aetherverse Consult, including bank transfers, debit or credit cards, mobile money, electronic wallets, cryptocurrency (where available), or any other approved payment channels.

Membership fees are generally non-refundable unless otherwise required by applicable law or expressly stated in a refund policy.

Failure to pay applicable fees may result in suspension or removal of Listings, restriction of Platform access, suspension of Membership benefits, or termination of the User’s Account.

Aetherverse Consult reserves the right to revise its pricing structure at any time. Updated fees shall become effective upon publication on the Platform.

10. MARKETPLACE TRANSACTIONS

Aetherverse Consult is solely a technology provider and marketplace facilitator.

Transactions conducted through the Platform are entered into directly between Buyers and Sellers.

Accordingly:

• Buyers are responsible for conducting their own due diligence before completing any purchase.

• Sellers are solely responsible for the accuracy and legality of their Listings.

• Users negotiate prices, payment terms, inspections, warranties, delivery arrangements, financing, ownership transfer, registration, taxes, insurance, and related matters directly with one another.

Except where expressly stated, Aetherverse Consult:

• does not own listed vehicles or products;

• does not guarantee any transaction;

• does not guarantee payment by Buyers;

• does not guarantee delivery by Sellers;

• does not guarantee ownership of advertised vehicles;

• does not guarantee vehicle condition, mileage, service history, accident history, or legal title.

Users assume all risks associated with transactions conducted through the Platform.

11. LEAD GENERATION SERVICES

Aetherverse Consult provides digital tools designed to connect businesses with prospective customers.

Lead generation services may include:

• enquiry forms;

• telephone enquiries;

• live chat;

• email enquiries;

• quotation requests;

• booking requests;

• click-to-call features;

• business directory listings;

• promotional campaigns;

• referral opportunities.

Aetherverse Consult does not guarantee:

• the number of leads;

• conversion rates;

• sales;

• profitability;

• customer engagement.

Businesses remain solely responsible for converting enquiries into successful commercial transactions.

12. USER RESPONSIBILITIES

Every User agrees to:

• provide accurate information;

• maintain the confidentiality of Account credentials;

• comply with all applicable laws;

• respect the rights of other Users;

• act honestly and in good faith;

• refrain from fraudulent conduct;

• cooperate with investigations relating to misuse of the Platform.

Users remain solely responsible for all activity conducted through their Accounts.

13. SELLER OBLIGATIONS

Every Seller represents and warrants that:

• they legally own or are authorised to advertise every listed item;

• all information contained within a Listing is accurate and complete;

• vehicle photographs accurately represent the advertised vehicle;

• mileage, specifications, ownership status, and condition are truthful;

• the advertised vehicle is not stolen, unlawfully acquired, or subject to undisclosed legal restrictions;

• they possess legal authority to sell the advertised item.

Sellers shall promptly remove Listings once the item has been sold or is no longer available.

14. BUYER RESPONSIBILITIES

Buyers are responsible for exercising independent judgment before purchasing any advertised goods or services.

Before completing any purchase, Buyers are encouraged to:

• inspect the vehicle;

• verify ownership documentation;

• conduct mechanical inspections where appropriate;

• confirm registration status;

• verify payment arrangements;

• obtain independent legal or financial advice where necessary.

Aetherverse Consult shall not be liable for any losses resulting from a Buyer’s failure to conduct appropriate due diligence.

15. PROHIBITED ACTIVITIES

Users shall not:

• create false Accounts;

• impersonate another individual or business;

• publish misleading Listings;

• upload malicious software;

• interfere with Platform security;

• harvest User information without consent;

• manipulate search rankings;

• post duplicate Listings intended to mislead Users;

• engage in fraudulent, deceptive, unlawful, or abusive conduct;

• circumvent Platform fees;

• use automated software or bots without written approval;

• misuse lead generation services.

Aetherverse Consult reserves the right to suspend or permanently terminate Accounts engaged in prohibited conduct.

16. INTELLECTUAL PROPERTY

All intellectual property rights relating to the Platform, including its software, logos, trademarks, graphics, text, databases, website design, source code, and digital content, remain the exclusive property of Aetherverse Consult or its licensors.

Users retain ownership of photographs, logos, and other content they upload.

By uploading content, Users grant Aetherverse Consult a non-exclusive, worldwide, royalty-free licence to host, reproduce, publish, display, modify (for formatting purposes), distribute, and promote such content solely for the operation, marketing, and improvement of the Platform.

Users warrant that they possess all necessary rights to upload such content and indemnify Aetherverse Consult against claims arising from intellectual property infringement.

17. THIRD-PARTY SERVICES

The Platform may contain links to third-party websites, service providers, financial institutions, insurers, payment processors, advertisers, logistics providers, or government services.

Such services operate independently of Aetherverse Consult.

Aetherverse Consult does not control or endorse third-party websites and accepts no responsibility for their products, services, privacy practices, content, or contractual obligations.

Users access third-party services entirely at their own risk.

18. PRIVACY AND DATA PROTECTION

Aetherverse Consult respects the privacy of its Users and is committed to protecting personal information in accordance with the laws of the Republic of Ghana.

The collection, processing, storage, use, disclosure, and transfer of personal information shall be governed by our Privacy Policy and applicable legislation, including but not limited to:

• The Constitution of the Republic of Ghana, 1992, particularly Article 18(2), which guarantees the right to privacy.

• The Data Protection Act, 2012 (Act 843).

• The Electronic Transactions Act, 2008 (Act 772).

• The Cybersecurity Act, 2020 (Act 1038).

By using the Platform, Users consent to the collection and processing of personal information necessary for the operation of the Platform, including account administration, listings, transactions, customer support, fraud prevention, regulatory compliance, and service improvements.

Users remain responsible for ensuring that any personal information they upload to the Platform has been lawfully obtained and that they possess the necessary rights or consent to publish such information.

19. DISCLAIMERS

The Platform and all services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Aetherverse Consult makes no representation or warranty regarding:

• the accuracy of Listings;

• ownership of advertised goods;

• vehicle condition;

• availability of listed items;

• uninterrupted Platform availability;

• freedom from viruses or malicious software;

• the financial standing or credibility of any User;

• successful completion of transactions;

• suitability of any goods or services for a particular purpose.

Users acknowledge that they use the Platform entirely at their own risk.

20. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Aetherverse Consult, its directors, officers, employees, affiliates, contractors, licensors, and agents shall not be liable for any:

• direct loss;

• indirect loss;

• incidental loss;

• consequential loss;

• special damages;

• exemplary damages;

• punitive damages;

• loss of profits;

• loss of revenue;

• business interruption;

• reputational damage;

• loss of opportunity;

• loss of goodwill;

• data loss;

• cyber incidents;

• fraud committed by Users;

• failed transactions.

Aetherverse Consult shall not be liable for disputes arising between Buyers, Sellers, Dealers, Traders, Advertisers, or other Users.

Where liability cannot be excluded by law, Aetherverse Consult’s total aggregate liability shall not exceed the total fees actually paid by the affected User to Aetherverse Consult during the twelve (12) months immediately preceding the event giving rise to the claim.

21. INDEMNITY

Users agree to defend, indemnify, and hold harmless Aetherverse Consult, its directors, shareholders, officers, employees, contractors, affiliates, successors, and agents against any claims, proceedings, losses, damages, liabilities, penalties, fines, judgments, costs, and expenses (including reasonable legal fees) arising directly or indirectly from:

• breach of this Agreement;

• breach of applicable law;

• fraudulent conduct;

• misleading Listings;

• infringement of intellectual property rights;

• misuse of the Platform;

• negligent or intentional acts or omissions;

• disputes arising between Users;

• publication of unlawful content.

This indemnity survives termination of this Agreement.

22. SUSPENSION OF SERVICES

Aetherverse Consult reserves the right, without prior notice, to suspend or restrict access to any Account, Listing, Membership, advertisement, or service where it reasonably believes that:

• this Agreement has been breached;

• fraudulent activity has occurred;

• misleading information has been published;

• unlawful conduct is suspected;

• the security of the Platform is threatened;

• payment obligations remain outstanding;

• continued operation may expose Users or Aetherverse Consult to legal or reputational risk.

Suspension shall not limit any other legal remedies available to Aetherverse Consult.

23. TERMINATION

Aetherverse Consult may suspend or terminate this Agreement immediately where:

• a User materially breaches this Agreement;

• fraudulent conduct is detected;

• false information is provided during registration;

• required fees remain unpaid;

• a User engages in criminal or unlawful activity;

• continued access may compromise the Platform or other Users.

Users may terminate their Accounts at any time by following the account closure procedures provided on the Platform.

Termination shall not affect accrued rights, outstanding payment obligations, indemnities, or provisions intended to survive termination.

24. FORCE MAJEURE

Aetherverse Consult shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:

• natural disasters;

• epidemics or pandemics;

• governmental actions;

• civil unrest;

• war;

• terrorism;

• labour disputes;

• power failures;

• telecommunications failures;

• internet outages;

• cyberattacks;

• failures of third-party service providers.

Performance shall resume as soon as reasonably practicable after the relevant event ceases.

25. DISPUTE RESOLUTION

The Parties shall endeavour to resolve any dispute arising under this Agreement through good-faith negotiations.

Where a dispute cannot be resolved amicably within thirty (30) days, the Parties may refer the matter to mediation.

If mediation is unsuccessful, either Party may submit the dispute to the competent courts of the Republic of Ghana.

Nothing in this clause prevents Aetherverse Consult from seeking interim or injunctive relief where necessary to protect its rights, intellectual property, confidential information, or the integrity of the Platform.

26. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana.

Without limitation, this Agreement shall be interpreted consistently with:

• The Constitution of the Republic of Ghana, 1992;

• The Contracts Act, 1960 (Act 25);

• The Data Protection Act, 2012 (Act 843);

• The Electronic Transactions Act, 2008 (Act 772);

• The Cybersecurity Act, 2020 (Act 1038);

• The Electronic Communications Act, 2008 (Act 775), where applicable;

• Any other applicable legislation governing electronic commerce, consumer protection, intellectual property, anti-money laundering, taxation, and digital business operations in Ghana.

The Parties irrevocably submit to the exclusive jurisdiction of the courts of the Republic of Ghana.

27. GENERAL PROVISIONS

Entire Agreement

This Agreement, together with the Privacy Policy, Cookie Policy, Community Guidelines, Membership Terms, and any other policies published by Aetherverse Consult, constitutes the entire agreement between the Parties.

Amendments

Aetherverse Consult reserves the right to amend or update this Agreement at any time. Revised terms become effective upon publication on the Platform. Continued use of the Platform after publication constitutes acceptance of the revised Agreement.

Assignment

Users may not assign or transfer any rights or obligations under this Agreement without the prior written consent of Aetherverse Consult.

Aetherverse Consult may assign its rights or obligations to an affiliate, successor, or purchaser of its business without prior notice.

Severability

If any provision of this Agreement is declared invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure by Aetherverse Consult to enforce any provision of this Agreement shall not constitute a waiver of its rights.

Survival

The provisions relating to intellectual property, payment obligations, indemnity, limitation of liability, dispute resolution, governing law, confidentiality, and

privacy shall survive termination or expiry of this Agreement.
